1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Valet Rápido, Inc. ("Company," "we," "us," or "our") concerning your access to and use of our valet parking service platform (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
You must be at least 18 years old and possess a valid driver's license to use our Service. By using the Service, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You will use the Service in compliance with all applicable laws
- All information you provide is accurate, current, and complete
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account by providing your name, email address, phone number, and payment information. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your password
- Notify us immediately of any unauthorized account access
- Accept responsibility for all activities under your account
3.2 Phone Number Verification
As part of registration, you must provide a valid phone number. This phone number will be used for:
- Account verification and security
- Service notifications and updates
- Communication with valets and support
- Emergency contact purposes
4. SMS Communications and Consent
4.1 Consent to Receive SMS Messages
By providing your phone number and using the Service, you expressly consent to receive SMS (text) messages from Valet Rápido via Twilio, our third-party SMS service provider. You acknowledge and agree that:
- SMS messages are an integral part of the Service and necessary for proper service delivery
- You will receive transactional SMS messages regarding your valet service requests
- Message frequency varies based on your usage (typically 3-6 messages per service request)
- Standard message and data rates from your mobile carrier may apply
- You are responsible for any charges from your mobile carrier
4.2 Types of SMS Messages
You may receive the following types of SMS messages:
- Transactional Messages: Service confirmations, valet assignments, status updates, payment confirmations, service completion notifications
- Operational Messages: Account verification, security alerts, service reminders
- Customer Support: Responses to inquiries, issue resolution updates
4.3 Opting Out of SMS
You may opt out of non-essential SMS notifications through your account settings. To completely stop receiving SMS messages, reply "STOP" to any message from Valet Rápido. Please note:
- Opting out may significantly impair your ability to use the Service effectively
- Critical transactional messages (such as service confirmations) may still be sent as required for service operation
- You may opt back in at any time by texting "START" or updating your account settings
4.4 SMS Help
For SMS support, text "HELP" to any message from Valet Rápido or contact our support team. Supported carriers include all major U.S. carriers. For a complete list of supported carriers and additional information, please refer to our Privacy Policy.
5. Service Description
Valet Rápido provides on-demand and scheduled valet parking services in San Miguel de Allende, Guanajuato, Mexico. Our Service includes:
- Vehicle pickup from designated locations within our service area
- Secure parking at partner facilities
- Real-time tracking and status updates via our platform
- Vehicle return to designated locations
- Digital payment processing
We reserve the right to refuse service, modify service areas, or change pricing at our discretion with appropriate notice.
6. User Responsibilities
As a user of the Service, you agree to:
- Provide accurate vehicle information (make, model, license plate, color)
- Ensure your vehicle is in safe operating condition and legally registered
- Maintain valid automobile insurance coverage
- Remove all valuables and personal items from your vehicle
- Be present at the designated pickup location at the scheduled time
- Provide clear instructions for vehicle access and operation
- Notify us immediately of any vehicle damage or concerns during service
- Pay all fees and charges in a timely manner
- Comply with all applicable laws and regulations regarding vehicle operation
7. Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Provide false or misleading information to us or our valets
- Leave illegal items, weapons, or hazardous materials in your vehicle
- Harass, threaten, or abuse our employees or valets
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service if your vehicle is not properly insured or registered
- Interfere with or disrupt the integrity or performance of the Service
- Use automated systems or software to extract data from the Service
8. Fees and Payment Terms
8.1 Pricing
Fees for our Service are displayed on our website and within the platform. Pricing may vary based on:
- Service type (on-demand vs. scheduled)
- Duration of parking
- Location and distance
- Special events or peak periods
8.2 Payment Processing
All payments are processed securely through Stripe. By using the Service, you authorize us to charge your payment method for:
- Service fees as displayed at time of booking
- Any applicable taxes
- Additional charges for extended parking or special services
- Fees for damages or violations (if applicable)
8.3 Refunds and Cancellations
Cancellation policies vary by service type. Generally:
- On-demand requests: Cancel within 5 minutes of request for full refund
- Scheduled requests: Cancel at least 24 hours in advance for full refund
- Late cancellations may be subject to a cancellation fee
- No-shows will be charged the full service fee
8.4 Tips and Gratuity
Tips are optional but appreciated. You may add a tip through the platform, which will be paid directly to your assigned valet.
9. Vehicle Safety and Liability
9.1 Insurance Requirements
You must maintain comprehensive automobile insurance coverage on any vehicle serviced by Valet Rápido. Our valets are insured, but your personal auto insurance is the primary coverage for your vehicle.
9.2 Damage Reporting
Valets inspect vehicles at pickup and document any existing damage. If damage occurs during our service, you must:
- Report the damage within 24 hours
- Provide photos and documentation
- Cooperate with our insurance investigation
9.3 Personal Property
We are not responsible for personal property left in vehicles. Remove all valuables, important documents, and personal items before requesting valet service.
9.4 Liability Limitations
To the fullest extent permitted by law, our liability for any claim related to the Service is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Intellectual Property
The Service, including all content, features, and functionality, is owned by Valet Rápido and is protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works based on the Service
- Reverse engineer or attempt to extract source code
- Remove copyright or proprietary notices
- Use our trademarks without written permission
11. Privacy and Data Use
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and share your information, including your phone number for SMS communications via Twilio.
12. Third-Party Services
Our Service uses third-party services including:
- Twilio: SMS messaging and communications
- Stripe: Payment processing
- Google Maps: Location and mapping services
- Firebase: Data storage and authentication
Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party service providers.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability and fitness for a particular purpose
- Uninterrupted or error-free operation
- Accuracy, reliability, or timeliness of information
- Security of data transmission
We do not guarantee that the Service will be available at all times or in all locations. Service availability may be affected by factors beyond our control.
14. Indemnification
You agree to indemnify, defend, and hold harmless Valet Rápido, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your breach of these Terms
- Your violation of any law or rights of a third party
- Any claim related to your vehicle or its operation
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally by contacting our customer support.
15.2 Binding Arbitration
If informal resolution is unsuccessful, you agree that any dispute will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
15.4 Governing Law
These Terms are governed by the laws of Mexico and the State of Guanajuato, without regard to conflict of law principles.
16. Termination
16.1 Your Right to Terminate
You may terminate your account at any time by contacting customer support or through your account settings.
16.2 Our Right to Terminate
We reserve the right to suspend or terminate your account and access to the Service at any time, without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Abusive behavior toward our staff or valets
- Any reason that poses a risk to our business or users
16.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- You remain responsible for any outstanding fees
- We may retain certain information as required by law or for legitimate business purposes
17. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Posting the updated Terms with a new "Last Updated" date
- Sending an email notification to your registered email
- Displaying a prominent notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Valet Rápido regarding the Service.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
18.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

Acknowledgment and Acceptance
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND VALET RÁPIDO.
YOU SPECIFICALLY ACKNOWLEDGE AND AGREE TO:
- Receive SMS messages from Valet Rápido via Twilio as described in Section 4
- The payment terms and processing through Stripe as described in Section 8
- The liability limitations and disclaimers in Sections 9 and 13
- The dispute resolution and arbitration provisions in Section 15
